Key Duties/Responsibilities:

Executive Business Consultants Ltd (EBC) is looking for a Corporate Administrator to join its Team

Job Description and Duties:

  • Drafting and reviewing of legal documents such as Board and Shareholder Resolutions, Annual General Minutes, Loan Agreements, Share Sale and Purchase Agreements, Power of Attorney documents, Subscription Agreements, etc., for Cyprus and offshore companies (e.g., BVI, Panama, Seychelles etc.).
  • Drafting of documents and monitoring of the procedure for corporate changes.
  • Issuing invoices and follow up with the clients for their settlement.
  • Updating of files, hard copy and electronic filing and updating of internal indexes.
  • Liaising with accountants and auditors for assessment of records and reporting procedures and obligations of companies, including the financial statements of the companies.
  • Liaising with external lawyers for assessment and resolving of issues and assistance in projects.
  • Liaising with Registered Agents for various offshore companies (e.g., BVI, Panama, Seychelles etc.).
  • Liaising with clients/associates either by telephone, e-mails or participation in face-to-face meetings.
  • Liaising with governmental authorities.
  • Liaising with the accountants and the auditors for the conclusion of the accounting records of the companies and preparation / audit of their financial statements;

Academic Criteria:

Preferably a holder of a degree in Economics/Finance/ Accounting/Law, or any related degree in the field of Business/Accounting/Law.

Work Experience:

  • Working experience in Corporate/Trust Company for 2-3 years will be considered an advantage.
  • Finance/accounting knowledge and understanding
  • Ability to understand the contents of financial and legal/corporate material.
  • Excellent verbal/written communication skills in the English language.
  • Document management skills.
  • Exposure with international clients will be considered an advantage.

Special Requirements:

  • Speak and write fluently English;
  • Pleasant personality, able to work in a team environment and be able to build strong relationships with her/his colleagues;
  • Computer literate;
  • Able to multitask and willing to adapt to new methods applied by the Management;

ExecutiveBusiness Consultants is looking for a Junior Advisory & CorporateService Associate to join their team.

 

We are currently seeking a detail-oriented and proactive Junior Advisory & Corporate Services Associate to join our Advisory Department. This position offers a dynamic opportunity to work within a multidisciplinary and collaborative team in an established accounting and corporate services firm.

 

The successful candidate will support the firm’s clients in various advisory areas, including migration consulting, relocation support, contract and real estate advisory, GDPR and AML compliance, Trust(CIT) establishment, and Mergers & Acquisitions (M&As).

 

As part of a strong team of professionals, you will collaborate closely with colleagues to deliver the highest standards of service to clients, ensuring effective and timely solutions.

Job Description and Duties:

1.     Provide day-to-day advisory support and support clients for processes involved from start to finish in areas such as:

·        Migration and relocation services

·        Contract review and drafting (SPAs, SHAs, NDAs, etc.)

·        Real estate advisory

·        GDPR and AML compliance including but not limited to drafting the GDPR or AML policy of clients and reviewing existing GDPR and privacy policy or AML policies and procedures of the client

·        Trust(CIT) establishment and related advisory services

·        Mergers & Acquisitions (M&As) including preparing and reviewing information memoranda and other transaction documents and drafting key transaction related documents.

 

2.     Handle the administration of specific internal corporate entities, including company formation, maintenance, and statutory filings.

 

3.     Liaise with clients, regulators, and external partners as required.

 

4.     Assist with document preparation, including legal notes, memos, and reports on legaland regulatory matters.

 

5.     Monitor relevant regulatory updates and ensure compliance with internal policies and legal obligations.

Academic Criteria:

University degree in law. A Master’s degree (LLM) in Corporate Law, Commercial Law, or International Business Law will be considered an advantage.

Work Experience:

·        Minimum 2 years of relevant experience in the Legal/Corporate/Advisory department of aCyprus-based regulated company (preferably an ASP).

·        Exposure to Cyprus corporate/company law is highly desirable.

Special Requirements:

·        Fluency in both Greek and English (written and spoken) is essential

·        Solid organizational skills and ability to handle multiple tasks effectively

·        Strong attention to detail and accuracy

·        Capable of working well under pressure and managing deadlines

·        Excellent time management and communication skills

·        Ability to work effectively as part of a team, collaborating with colleagues across various departments

·        Self-motivated,with the ability to work independently while contributing to the team’s success

Job Description and Duties:

  • Posting of accounting entries in accounting software;
  • VAT reconciliations;
  • Assessing agreements for accurate posting in accounting software and for assessing any TAX or VAT implications;
  • Completion of TAX and VAT forms;
  • Bank reconciliations;
  • Communicate with clients either by telephone or e-mails;
  • Liaise with the audit/banking departments where necessary;
  • Liaise with government authorities where necessary;
  • Electronic and hard copy archiving of accounting, corporate and banking documents in accordance with Company policies

Academic Criteria:

Higher or CAT diploma in accounting will be considered as an advantage.

Work Experience:

  • 2-3 years’ experience in the field of accounting preferably of international clients;
  • Excellent verbal/written communication skills in the English Language;
  • Computer Literate;
  • Good Knowledge of applying Cyprus VAT and Tax Legislations to international clients;       

Special Requirements:

  • The candidate must be residing in Larnaca;
  • Knowledge of SOFIA and CYCOM accounting Software will be considered as an advantage;
  • Experience with International clients is preferable.
